Terms of Service
The draft terms governing authorized use of the closed-source TrueVectors Auditor and Hub. Public software distribution is closed. We sell reasonable assurance and evidence, never a guarantee or certification.
Draft for review — not yet legal advice. Prepared for owner and counsel review before public launch. Effective date: [PLACEHOLDER: effective date] · Last updated: [PLACEHOLDER: last-updated date].
1. Agreement
These Terms of Service ("Terms") are a binding agreement between you and [PLACEHOLDER: legal entity name] ("TrueVectors", "we", "us") governing your authorized use of the TrueVectors Auditor, the TrueVectors Hub at app.truevectors.ai, the truevectors.ai website, and related services (together, the "Service"). By using an authorized Service, you accept these Terms.
2. The Service
TrueVectors is a closed-source auditor for AI-generated code and agent output. Its engine is delivered CI-first for authorized enterprise evaluations; an optional desktop surface may be supplied for an individual evaluation. No public installer, Action, container image, or self-serve distribution is currently offered. The Hub is the hosted control plane and fleet dashboard. Subject to these Terms and an authorized delivery, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose. You may not copy, modify, distribute, sell, sublicense, reverse-engineer, decompile, or attempt to derive the source code of the Service, except to the extent that restriction is prohibited by law.
3. Accounts and eligibility
If an authorized evaluation includes an account, you must provide accurate information, keep your credentials secure, and are responsible for activity under that account. You must be able to form a binding contract and use the Service in a professional capacity. Access and delivery instructions are provided directly for an authorized evaluation; there is no public download flow.
4. Acceptable use
You agree not to: use the Service unlawfully or to violate others' rights; attempt to breach the data boundary, exfiltrate other tenants' data, or circumvent rate limits or security controls; probe or attack the infrastructure; or use the Service to build a competing product. You are responsible for ensuring you have the right to audit the code, artifacts, and agent runs you point the Service at.
5. Plans, trials, and billing
TrueVectors is in early access, and no billing is active yet. Trials are no-credit-card. When billing is enabled at general availability, paid plans will be processed through our payment processor (Stripe), and the plan terms, prices, and metering then in effect will apply. Design partners on the early-access cohort retain their agreed terms. Nothing on the pricing page is an offer of guaranteed future pricing; pricing is indicative until general availability.
6. Your content and your code
You retain all rights to your source code, artifacts, and data. By design, your source code never leaves your machine (the G-6 boundary), so you do not grant us any license to it — we never receive it. The metrics-only receipts you choose to sync to the Hub are processed solely to provide the Service to you, as described in the Privacy Policy and Data Processing Addendum.
7. Intellectual property
The Service, including the Auditor engine, the Hub, the website, and all related software and content, is owned by TrueVectors and protected by intellectual-property laws. We publish certain specifications and benchmarks (for example, the failure-mode taxonomy) under their own stated terms; that does not make the engine open-source, and no rights in the Service are granted except as expressly stated here.
8. Third-party models and keys
The deterministic tier requires no model API key and sends nothing externally. The optional LLM tier is off by default; when enabled, it uses your own model API key or managed, metered tokens (Anthropic models via Amazon Bedrock). You are responsible for your own keys and for compliance with the applicable model provider's terms. We are not responsible for third-party model outputs.
9. Assurance disclaimer — important
TrueVectors provides reasonable assurance and evidence, not a guarantee or certification. Verdicts and receipts describe what was and was not proved under the checks that ran; they are not a warranty that your code is correct, secure, or compliant, and they are not a SOC 2 report, an ISO/IEC certificate, or an EU AI Act conformity assessment. The Service is provided "as is" and "as available", without warranties of any kind, express or implied, to the maximum extent permitted by law, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, TrueVectors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our aggregate liability arising out of or relating to the Service will not exceed [PLACEHOLDER: liability cap — e.g., fees paid in the 12 months preceding the claim].
11. Indemnification
You will indemnify and hold TrueVectors harmless from claims arising out of your use of the Service in breach of these Terms or applicable law, including your lack of rights to audit the material you submit to the Service.
12. Term and termination
These Terms apply while you use the Service. You may stop at any time and delete your account from the Hub. We may suspend or terminate access for breach of these Terms or to protect the Service. On termination, your customer data is deleted as described in the Privacy Policy and DPA.
13. Governing law and venue
These Terms are governed by [PLACEHOLDER: governing law], and the exclusive venue for disputes is [PLACEHOLDER: jurisdiction / venue], without regard to conflict-of-laws rules.
14. Changes
We may update these Terms as the Service evolves. Material changes will be reflected by an updated effective date, and where required we will notify account holders. Continued use after changes take effect constitutes acceptance.
15. Contact
